Welcome to GrooveTie! These Terms and Conditions ("Terms") govern your use of the GrooveTie platform. By signing up and using GrooveTie, you agree to comply with these Terms. If you do not agree, please do not use our services.

1. About GrooveTie

GrooveTie is a platform that connects independent artists with local fans, allowing artists to share their music, gain exposure, and monetize their work. Fans can discover new music and engage with artists.

2. Your Account

2.1 Eligibility

• You must be at least 13 years old to use GrooveTie (the age requirement depends on your country).
• If you create an account on behalf of an entity (e.g., a band or label), you confirm that you have the authority to bind the entity to these Terms.

2.2 Account Responsibility

• You are responsible for maintaining the security of your account.
• Do not share your login credentials or allow others to access your account.
• GrooveTie is not liable for any unauthorized access to your account.

3. User Conduct

You agree to use GrooveTie responsibly and follow these rules:

3.1 Permitted Use

You may:

✔ Share your original music and content.

✔ Discover and engage with other artists and fans.

✔ Use GrooveTie’s features in compliance with these Terms.

3.2 Prohibited Use

You may NOT:

❌ Upload or distribute copyrighted content that you do not own or have permission to share.

❌ Post harmful, abusive, defamatory, or illegal content.

❌ Use bots, automation, or other methods to manipulate streams, plays, or engagement.

❌ Violate GrooveTie’s community guidelines.

❌ Use the platform for spam, scams, or unauthorized promotions.

Violation of these rules may result in content removal, account suspension, or legal action.

4. Content Ownership & Licensing

4.1 Your Content

• You retain ownership of any content you upload to GrooveTie.
• By uploading content, you grant GrooveTie a non-exclusive, worldwide license to use, display, distribute, and promote your content for the purpose of operating the platform.

4.2 Reporting Copyright Infringement

• If you believe your copyrighted work has been used without permission, you can file a copyright complaint by contacting [copyright@groovetie.com].

5. Payments & Monetization

5.1 Artist Earnings

• Artists can monetize their music through GrooveTie’s revenue-sharing model.
• Payments are processed through third-party providers, and GrooveTie does not store payment details.

5.2 Payouts & Fees

• Payouts are subject to processing times and minimum withdrawal limits.
• GrooveTie may deduct applicable service fees.
• GrooveTie reserves the right to withhold payments if fraudulent activity is detected.

6. Termination & Suspension

6.1 By You

• You can delete your account at any time through your settings or by contacting [support@groovetie.com].

6.2 By GrooveTie

We may suspend or terminate accounts that:

• Violate these Terms.
• Engage in fraudulent or harmful activities.
• Are inactive for an extended period.

If your account is terminated, you may lose access to content and earnings.

7. Disclaimers & Limitation of Liability

• No Warranty: GrooveTie is provided “as is” without warranties of any kind. We do not guarantee uninterrupted service.
• Limitation of Liability: GrooveTie is not responsible for losses or damages resulting from your use of the platform.

8. Changes to These Terms

We reserve the right to update these Terms from time to time. If we make significant changes, we will notify users via email or app notifications. Your continued use of GrooveTie after updates constitutes acceptance of the new Terms.

9. Governing Law & Disputes

• These Terms are governed by the laws of Georgia
• Any disputes will be resolved through arbitration or legal proceedings in Georgia.

10. SMS Communication

By creating an account on GrooveTie and providing your phone number, you consent to receive SMS messages from GrooveTie for account verification, security purposes, and important service-related updates. Standard messaging and data rates may apply. You may opt out of non-essential communications at any time by contacting us at contact@groovetie.com.

11. GROOVETIE ARTIST CONTENT LICENSE AGREEMENT

This Artist Content License Agreement ("Agreement") is made and entered into by and between GrooveTie, a company registered in Delaware, United States, with its principal office located at 1874 Piedmont Ave NE, Unit 465-D, Atlanta, Georgia ("GrooveTie"), and the undersigned artist ("Artist").

By signing this Agreement, the Artist acknowledges and agrees to the following terms:

1. Grant of Rights

The Artist grants GrooveTie a non-exclusive, worldwide, royalty-free license to use, store, distribute, and promote the content ("Content") uploaded by the Artist onto the GrooveTie platform. This license is solely to make the Content available on GrooveTie and does not extend to third-party streaming or distribution services.

2. Exclusivity

All music uploaded to GrooveTie is exclusive to the GrooveTie platform. GrooveTie does not provide access to third-party streaming services or catalogs. The Artist acknowledges that GrooveTie does not host or distribute content beyond its platform.

3. Artist Ownership

The Artist retains full ownership and copyrights of their uploaded Content. GrooveTie does not claim ownership of the Content, but it requires the necessary rights to feature the Content on its platform.

4. Content Compliance

The Artist represents and warrants that:

They own all necessary rights to the Content.

The Content does not infringe on any third-party copyrights, trademarks, or intellectual property.

The Content complies with all applicable laws and regulations.

5. Indemnification

The Artist agrees to indemnify and hold harmless GrooveTie from any claims, damages, or legal actions arising from unauthorized use, copyright disputes, or third-party claims related to the uploaded Content.

6. Termination

The Artist may request the removal of their Content from GrooveTie at any time by providing written notice. GrooveTie reserves the right to remove any Content that violates this Agreement or applicable laws.

7. Governing Law

This Agreement shall be governed by and interpreted by the laws of the State of Georgia, United States. Any disputes shall be resolved in the appropriate courts of Georgia.
